Appendix BSample Confidentiality AgreementsIn Early January, the PNB was urged to consider adopting a standard confidentiality statement and require that all PNB and LSB members sign it. Below is a sample confidentiality statement, based on a form developed at KPFA: I, _______________________, understand that as a member of ____________________,
that I may be privy to confidential information pertaining to real or potential
legal action involving the Pacifica Foundation. I understand and agree that
all such information is privileged and confidential to the Pacifica Foundation,
including, but not limited to: I agree to keep such information confidential. I will not share or discuss such information with anyone who is not a member of the Board, except for my attorney, or with any member of the Board directly involved in related legal action. I understand that if I violate this agreement of confidentiality, it may make me liable for damages to the Pacifica Foundation and to any person whose right to confidentiality is violated by my actions, and may be considered conduct adverse to the best interests of the Pacifica Foundation and grounds for disciplinary action up to and including removal from my position as a member of the Board. Another approach might be to adapt, for Board members, the Pacifica employee confidentiality agreement that has been developed by HR, incorporating appropriate clauses: All employees, interns, volunteers, visitors, and contractors, are to sign and agree to adhere to this confidentiality agreement. By my signature below, I agree that: Confidential Pacifica Foundation Information means: Information concerning the business or its employees, the disclosure of which could reasonably be anticipated either to adversely affect or embarrass Pacifica Foundation for example, confidential employee information or any other information that is to be held in confidence, such as the home addresses and telephone number of employees. I will not disclose confidential Pacifica Foundation information to anyone
outside of Pacifica Foundation or to anyone inside of Pacifica Foundation who
does not have legitimate reason to know based on job or position. I will take all reasonable steps necessary to ensure that confidential documentation
and other material is monitored, managed, stored, transmitted, destroyed and
otherwise handled in a manner that will preclude inadvertent disclosure, loss
or misuse. I will not remove from Pacifica Foundation premises any documents
containing confidential information, except as required by my job responsibilities.
I will maintain the confidentiality and integrity of Pacifica Foundation
communications and security systems (alarm codes, keys, etc.) include data processing
systems, codes, modem, email and voice mail. Upon termination of the engagement or employment by Pacifica Foundation,
I will relinquish to Pacifica Foundation all documents and other materials that
contain computer media, in my possession, in my use or in my control. I acknowledge that I have read a copy of the Confidentiality Agreement, and
I fully understand that I may be held personally liable if I violate this agreement.
